Institutional Terms

1. The Nature of the Protocol

VectraServe is an institutional infrastructure provider. These Terms of Service (the "Terms") govern your access to and use of our multi-tenant platform, including our Course Builder, Payment Engine, and Records Vault. By activating a workspace or enrolling in a course, you agree to be bound by this regulatory framework.

VectraServe acts as a **Technical Intermediary**. We do not produce, endorse, or verify the academic content provided by individual Academy Owners. The responsibility for curriculum quality and accreditation status lies solely with the respective institution.

2. Workspace Activation & Institutional Responsibility

When you activate a workspace, you represent that you have the legal authority to bind your institution to these Terms. You are responsible for:

• Maintaining the confidentiality of institutional credentials and 2FA protocols.
• Ensuring that your curriculum complies with national laws and professional standards.
• Managing your own facilitator relationships and ensuring their content meets your institutional standards.
• Promptly addressing student disputes related to course delivery or academic outcomes.

3. Fiscal Logic & Automated Payouts

VectraServe utilizes a high-fidelity payment engine powered by Paystack. By using our platform, you agree to the following fiscal protocol:

  Platform Fees: VectraServe deducts a platform fee (as specified in your Plan tier) from the gross transaction value. This fee covers infrastructure maintenance, security, and cryptographic certificate issuance.

  Automated Splitting: Payouts to Academy Owners and their designated facilitators or referrers are handled automatically. You are responsible for ensuring your Paystack sub-account is correctly configured to receive these funds.

  Chargebacks & Refunds: Refunds are the responsibility of the Academy Owner. VectraServe does not hold student funds; all payments are routed to the Academy Owner's verified account after fee deduction.

4. Cryptographic Certification & Integrity

VectraServe provides the technology to issue QR-verified certificates. However, the **academic validity** of these certificates is the sole responsibility of the issuing institution. Any attempt to use our infrastructure to issue fraudulent, misleading, or unearned credentials will result in immediate workspace termination and reporting to the relevant authorities.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VECTRASERVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE, DATA LOSS, OR REPUTATIONAL DAMAGE ARISING FROM THE USE OF OUR INFRASTRUCTURE. Our platform is provided "as is," and while we maintain a 99.9% uptime target, we do not guarantee uninterrupted service during scheduled maintenance or regional infrastructure failures.

6. Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes will be settled via arbitration in Lagos, Nigeria, under the Rules of the Lagos Court of Arbitration.
